Abstract: Since reform and opening up，along with China’8 foreign investment policy to relax restrictions，the access of foreign capital in major ways changes．Based on system changes as a backdrop，this paper recalls foreign investment in China，discusses the different stages of foreign direct investment characteristics，reveals the full treatment of for— eign investment in China’8 attitude reflected by changes。proposes counter measures to the introduction of FDI under the background of the system changes，that is,constructing neutral foreign policy with Chinese characteristics，cultivating COre competitive of domestic enterprises，opening capital markets，and building a guarding and monitoring system．
