公立医院法人治理结构研究——以深圳市南山医院为例

Corporate Governance Structure of Public Hospitals——the Case of Nanshan Hospital in the City of Shenzhen

  • 摘要: 深圳市南山医院在坚持公益性质前提下,探索建立理事会模式的法人治理结构,有助于决策权、执行权、监督权的有效分离,解决了由管办分开导致的委托代理问题。从几年的试点来看,提升了办医效率,产生了社会效益。下一步,公立医院法人治理结构的进一步完善,需要增强理事会成员的代表性与专业性,提高理事会治理的自主性,改革绩效管理,构建良好的法人治理外部环境。

     

    Abstract: At the insistence of public nature, Nanshan Hospital in the City of Shenzhen establishes a council mode of corporate governance structure and achieves a separation of decision, execution, and supervision powers, which help Nanshan Hospital to solve the principal-agent problem caused by the separation of supervision from operation of public hospital and also acquire better hospital efficiency and social benefits. In order to promote the practice of corporate governance structure of public hospitals, we should enhance the representativeness and professionalism of council members, increase the autonomy of council governance, implement a new performance management model, and build a good environment for corporate governance.
